Company Incorporation

The individual who does business in his or her own name without the protective glove of a corporation or limited liability company has become a rarity and for good reason. Without corporate or company protection, an individual is exposed to risk. Any single factor or combination—a downturn in the economy, an unforeseen natural disaster, even an accounting error—can turn the best-run enterprise into a business struggling to survive. The owner, founder, entrepreneur who spent years and energy creating what appeared to be on sound footings could lose everything, including his own home, car, even the ability to continue a child’s education.

In addition to the protection of personal assets, there are more reasons than ever to operate as a corporation or limited liability company. Suppliers are increasingly reluctant to do business other than with a corporation; many will only accept company checks or extend credit lines to a company; others offer benefits, rewards, even discounts and services to companies that they would not extend to individuals. Companies with shares are able to raise funds more easily.

The popularity of The Bahamas for the creation of International Business Companies (IBC) is driven by its highly stable political environment, professional expertise and registration in a tax neutral jurisdiction in which there is no sales tax, no estate tax, no income tax and no capital gains tax. A law firm or other financial service provider serves as the registered office of the IBC, meeting physical presence requirements. Meetings may be held electronically and a minimum of one director is required.

At Callenders & Co., we have incorporated mutual funds and many multi-jurisdictional banks, trust and insurance companies. Our well-staffed corporate division has assisted in both private and public offerings in The Bahamas and a variety of real property transactions. The Firm has a longstanding working relationship with Governmental Authorities.
